By purchasing a SoulCycle at-home bike (“Bike”), you are agreeing to be bound by these Delivery Guarantee Terms (“Terms”) between you and Equinox Media LLC (“Equinox Media” or “we”) as set forth below and all the terms incorporated herein by reference, including Equinox Media’s Terms and Conditions and Privacy Policy under which the Delivery Guarantee will be deemed part of the Offering (as defined therein). Do not purchase the Bike unless you have read and agree to these Terms.
Delivery Guarantee Overview
Subject to the conditions, exclusions and limitations herein, upon your purchase of the Bike by 11:59 p.m. ET on March 8, 2021, Equinox Media directly and/or through our third-party delivery provider (“Delivery Provider”) will ensure the following (collectively, the “Delivery Guarantee”):
Our Delivery Provider will make available for scheduling at least one (1) Bike delivery appointment within the twenty-one (21) day period from the date of your Bike purchase (a “Qualifying Appointment,” and such period, the “Delivery Guarantee Period”).
If you schedule your Qualifying Appointment within twenty-four (24) hours following our Delivery Provider’s delivery of your scheduling email (a “Scheduled Appointment”), our Delivery Provider will deliver your Bike within the Delivery Guarantee Period.
If we do not meet the Delivery Guarantee based on our review of your and our compliance with the requirements herein and the relevant delivery records for your Bike, as determined in our sole discretion, Equinox Media will apply either of the following: (i) if you have an active membership with Equinox Holdings, Inc. (“Equinox”), a credit of $240 to the Equinox+ Shop accessible at https://shop.equinoxplus.com/ (“Retail Shop”); or (ii) for all other Bike purchasers, a six (6) month credit to your Equinox+ membership (as applicable, the “Delivery Guarantee Credit”). Subject to verification, the Delivery Guarantee Credit will be applied to your account within thirty (30) days of the date of delivery of your Bike. For Equinox Members, the Delivery Guarantee Credit will thereafter be used solely as credits against purchases from the Retail Shop until the Delivery Guarantee Credit has been exhausted. For all other Bike purchasers, the Delivery Guarantee Credit will thereafter be used solely as credits against monthly payments of your Equinox+ membership until the Delivery Guarantee Credit has been exhausted. Please note that you may still be charged for your initial monthly Equinox+ membership payment prior to the application of any Delivery Guarantee Credit, and this initial monthly Equinox+ membership payment will not be refunded. The Delivery Guarantee Credit is your sole and exclusive remedy in the event of any failure to meet the Delivery Guarantee.
Exclusions and Limitations
There are several important exclusions and limitations to the Delivery Guarantee, and you should read each of these carefully. The Delivery Guarantee shall be void and does not apply:
If you do not select to receive your Bike delivery via a Qualifying Appointment within the twenty-one (21) day Delivery Guarantee Period.
If you do not select a Qualifying Appointment within twenty-four (24) hours from delivery of your scheduling email from our Delivery Provider.
If you refuse delivery or are not available for delivery of the Bike during your Scheduled Appointment.
If you request to change the date, time or address of your Scheduled Appointment after scheduling.
If you provide our Delivery Provider with any inaccurate or incomplete delivery requirements when reserving your Scheduled Appointment that impacts our Delivery Provider’s ability to deliver the Bike, including as further described in our Terms and Conditions, such as providing incorrect delivery information about stairs, clearance requirements or delivery impediments, failing to obtain any necessary certificate(s) of insurance required by your residence or selecting a delivery vehicle option that is unable to access your delivery address.
To any events beyond our or our Delivery Provider’s reasonable control, such as an act of God, terrorism, war, political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood, storms or other severe weather events or natural disasters, epidemics, pandemics or other public health events (including without limitation SARS-CoV-2 and COVID-19, or any laws, orders and other measures (including delivery restrictions) of any governmental authority or regulatory body in connection therewith), or any other natural or man-made condition outside of our or our Delivery Provider’s control.
If your Bike is returned, in which case any Delivery Guarantee Credit previously applied to your account will be revoked and forfeited.
To purchases of any products or services other than the Bike.
General Program Terms:
Delivery Guarantee is available to legal residents of the United States who are at least eighteen (18) years of age and purchase the Bike at www.equinoxplus.com by 11:59 p.m. ET on March 8, 2021. Bike delivery is only available to the lower 48 United States and Washington, D.C. Void where prohibited. Delivery Guarantee Credit is not transferrable, is not valid for prior purchases, has no cash value and cannot be redeemed for cash or other property. Any Delivery Guarantee Credit will expire and be deemed forfeited if your Equinox+ membership ceases to be active or is otherwise cancelled, terminated or suspended for any reason. Equinox Media reserves the right, in its sole discretion, to restrict the applicability of the Delivery Guarantee or update, modify, suspend or terminate the Delivery Guarantee program (including these Delivery Guarantee Terms) or any and all elements of the Delivery Guarantee (including without limitation any applicable Delivery Guarantee Credit) at any time without notice to you. If the Delivery Guarantee is suspended or terminated, there will be no remedy (including the Delivery Guarantee Credit) available to you for failure to meet any delivery commitments.
Equinox Media and its Delivery Provider will not be liable for any damages whatsoever for failure to meet the Delivery Guarantee, except as specifically provided for through the Delivery Guarantee Credit described above. Under no circumstances will Equinox Media or its Delivery Provider be liable for any special, incidental, or consequential damages, including, but not limited to, damages arising from any delayed delivery or failure to otherwise meet the Delivery Guarantee. Any disputes between you and Equinox Media related to the Delivery Guarantee or these Terms will be governed by the Equinox Media Terms and Conditions between you and Equinox Media, including the arbitration and dispute resolution procedures described in the Terms and Conditions. SoulCycle Inc. has no responsibility for the Delivery Guarantee or the Delivery Guarantee Credit.
